Terms & Conditions

1. Acceptance of Terms

By engaging in any business relationship with Broad Marketing and Media, including but not limited to the use of our marketing and media services, you agree to abide by these Terms and Conditions.

2. Services and Scope of Work

Broad Marketing and Media agrees to provide marketing and media services as outlined in the agreed-upon scope of work. Any changes to the scope of work must be mutually agreed upon in writing.

3. Payment Terms

a. Quotation: All services are provided based on the quotation provided to the client. The client acknowledges that the specific terms, including pricing and payment period, will be outlined in the quotation.

b. Invoicing: Invoices will be issued based on the terms specified in the agreement.

c. Payment:

• If payment is made in terms (installments), the client agrees to make payments within a 14-day period from the date of the invoice.

• If payment is made in one lump sum, the client agrees to make the full payment within a 30-day period from the date of the invoice.

• Late payments may be subject to interest charges.

4. Client Responsibilities

a. Timely Cooperation: The client agrees to provide timely and necessary cooperation, information, and approvals required for the completion of the services.

b. Content and Materials: The client is responsible for providing accurate and timely content and materials required for the execution of the services.

5. Intellectual Property

a. Ownership: All intellectual property developed as part of the services, including but not limited to designs, content, and strategies, shall remain the property of Broad Marketing and Media unless otherwise agreed upon in writing.

b. Usage Rights: Upon full payment, the client is granted a non-exclusive license to use the deliverables for their intended purpose.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement.

7. Termination

Either party may terminate the agreement with written notice in the event of a material breach by the other party.

8. Liability and Indemnification

a. Limitation of Liability: Broad Marketing and Media’s liability is limited to the amount paid for the services.

b. Indemnification: The client agrees to indemnify and hold Broad Marketing and Media harmless from any claims, damages, or liabilities arising from the client’s use of the services.

9. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their control, including but not limited to acts of nature, war, or government regulations.

10. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Supreme Court of the Netherlands. Any disputes arising out of or in connection with this agreement shall be resolved through arbitration in accordance with the rules of NAI.

By engaging in business with Broad Marketing and Media, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
